By creating an account on BidM8 Inc., you confirm that you have read, understood, and agree to these Terms of Service. You also agree to comply with any applicable laws and regulations.

2. Definitions

• “User” refers to any individual or business entity that creates an account on BidM8 Inc.
• “Supplier” refers to any business that provides materials, equipment, or services through the BidM8 Inc. platform.
• “Order” refers to any request for materials or services placed through the BidM8 Inc. platform.
• “Platform” refers to the BidM8 Inc. website, mobile app, and associated services.

3. Information Sharing and Privacy

When you submit a request for materials or equipment through BidM8 Inc., you consent to BidM8 Inc. sharing your contact information and order details with relevant suppliers. This information is only shared after you have confirmed your interest in receiving a bid or placing an order.We respect your privacy and will only share your information for the purpose of facilitating bids and orders. 4. Supplier Communication

Users agree not to contact suppliers or building centers directly to negotiate pricing or terms on orders placed through BidM8 Inc. All communication related to orders facilitated by BidM8 Inc. must go through the platform.If users bypass BidM8 Inc. and contact suppliers directly to obtain a better price or avoid paying platform fees, their account may be terminated without notice.

5. User Account and Security

Users are responsible for maintaining the confidentiality of their account information, including login credentials. You agree to notify BidM8 Inc. immediately of any unauthorized access to your account.BidM8 Inc. is not liable for any loss or damage resulting from your failure to secure your account.

6. Order Placement and Delivery

BidM8 Inc. acts as a facilitator connecting users with suppliers. We do not stock, sell, or deliver products. Once a user accepts a bid and places an order, the supplier is solely responsible for fulfilling that order.While BidM8 Inc. may assist with logistics and communication between users and suppliers, we are not liable for:

• Late or missed deliveries
• Product quality issues
• Incorrect orders
• Any damages or losses resulting from an order

All concerns regarding delivery or product issues must be directed to the supplier. BidM8 Inc. will assist in resolving disputes when possible but is not responsible for any final outcomes.

7. A2P Messaging Compliance

BidM8 Inc. complies with Application-to-Person (A2P) messaging standards. By providing your contact information, you agree to receive SMS and email communications from BidM8 Inc. and our suppliers. You may opt out of marketing communications at any time, but you will continue to receive essential service-related messages.

8. User Responsibilities

By using BidM8 Inc., users agree to:

• Provide accurate and truthful information when creating an account and submitting orders.
• Use the platform in good faith and in compliance with these Terms.
• Refrain from engaging in any fraudulent or unethical behavior.

Failure to comply with these responsibilities may result in account suspension or termination.

9. Limitations of Liability

BidM8 Inc. is a platform that connects users with suppliers. We do not guarantee product availability, pricing accuracy, or delivery timelines. To the fullest extent permitted by law, BidM8 Inc. disclaims any liability for:

• Lost revenue or profits
• Indirect or incidental damages
• Consequential damages

Our liability is limited to the fees paid by the user for the specific transaction in question.

10. Dispute Resolution

In the event of a dispute between a user and a supplier, BidM8 Inc. may act as a mediator to facilitate a resolution. However, BidM8 Inc. is not obligated to intervene or enforce any specific outcome.

11. Termination

BidM8 Inc. reserves the right to terminate a user’s account at any time for violating these Terms. Users may also terminate their account at any time by contacting our support team.

12. Changes to These Terms

We may update these Terms from time to time. If we make significant changes, we will notify users via email or through the platform. Continued use of BidM8 Inc. after changes are posted constitutes your acceptance of the updated Terms.
